    DRG Professional Services is currently seeking a Sr. Contracts Manager for a global leader in the mining, production and marketing of inorganic minerals and chemicals.


    The Senior Contract Manager will be responsible for supporting commercial and procurement functions globally through the management of unified Contract Management System (CMS).  Though a member of company law department, the Senior Contract Manager will primarily work with and support members of company sales and procurement functions in their drafting and negotiation of contracts and agreements with global customers and vendors to ensure such contracts and agreements effectively manage risk and best protect the interests of the company.

    Specific areas of responsibility for the SCM include to:

    • Working under the auspices of the law department, establish policies, processes and procedures for the drafting and negotiation of a wide of range of commercial contracts and agreements including: TiO2 pigment, zircon, pig iron and feedstock customer sales agreements originated by the sales function; procurement agreements for the purchase of goods and/or services and for the provision of works, including agreements related to CAPEX program; contract variations, deeds of assignment and other supplementary agreements; Letters of Intent, NDAs, consultancy agreements and other contracts required from time to time by other functions within company such R&D, IT and Marketing.
    • Provide guidance, advice and contracting support to the relevant function the source of the contract, including on contracting strategy, and lead the drafting and negotiation of their contracts and agreements, recognizing when to involve the wider law department.
    • Develop contract drafting guidelines to assist members of the commercial, procurement and other functions complete standard form agreements without law department input.
    • Assist in the development of contract negotiating playbooks to empower members of the commercial and procurement functions to negotiate routine agreements and contracts without law department supervision in a manner that protects company from unanticipated contractual risk.
    • Assist contract owners in their on-going management of contracts by drafting user guides for critical contracts which summarise key obligations of both parties to the contract.
    • Develop and deploy training materials and lead training programs aimed at members of the sales and procurement functions on contract drafting and negotiation, company contract policies, use of the standard form agreements and other related matters.
    • Develop and deploy compliance programs to ensure that company contract policies are strictly adhered to.
    • Maintain a library of standard form agreements that are commonly required by the company sales and procurement functions applicable globally, updating as necessary to reflect changes in law and appetite for risk.
    • Utilize technology to develop workflow tools that will aid in the efficiency and cycle time of company contracting process.
    • Manage the CMS as a central, global contract repository.


    Education: 4 year degree 



    • 10+ years of contract management experience in a large industrial company including the following; 
      • Experience in drafting and negotiating complex agreements directly with customers and vendors
      • Managing a contract management system
      • Developing contracting policies
      • Training a sales force or procurement professionals on contracting best practices
      • Using IT to enhance the efficiency and usability of a contract management system  
    • Candidates must have operated in a global environment with experience in negotiating contracts with sophisticated parties from numerous jurisdictions including outside the United States.
    • Excellent writing and oral communication skills are a must as is a deep understanding of a variety of contract types, typical contract terms and contracting strategies.
